TERMS AND CONDITIONS

INTRODUCTION

1.1. This Agreement is established between the company, hereinafter referred to as "ZYCI LLC" (the "Company"), and the individual, company, or organization, hereinafter referred to as the "Customer".

SERVICES

2.1. The Company shall provide the manufacturing services as described in specific purchase orders, project specifications, or other written agreement between the Company and the Customer.

PAYMENT AND PRICING

3.1. The Customer shall pay the Company for the services rendered based on the agreed-upon pricing, as stipulated in the estimate or quote provided by the Company.

3.2. All payments should be made within the agreed payment terms.

3.3. Payments received more than 5 business days after the due date shall incur an immediate 5% late fee and an additional 5% every month thereafter. 

3.4 Customers with a history of late payments will be placed on credit hold and will be required to pay in full prior to production or shipment.

DELIVERY

4.1. The Company shall make reasonable efforts to meet estimated delivery times. However, the Company cannot guarantee specific deadlines and shall not be liable for any damages resulting from delays.

WARRANTY AND LIABILITY

5.1. The Company warrants that all services will be performed in a professional and workmanlike manner, in line with industry standards and in accordance with all specifications transmitted by Customer as part of the purchase order or contract.

5.2. The Company shall not be liable for any indirect, incidental, consequential, or special damages of any kind.

INTELLECTUAL PROPERTY

6.1. Any intellectual property provided by the Customer for the purpose of the project remains the property of the Customer. The Company claims no ownership or rights to this intellectual property.

FORCE MAJEURE

7.1. Neither the Company nor the Customer will be held liable for any failures or delays in performance due to circumstances beyond their reasonable control.

DISPUTES AND GOVERNING LAW

8.1. Any dispute arising out of this Agreement shall be resolved by arbitration in accordance with the laws of the state of Georgia.

By utilizing the services of ZYCI LLC, the Customer agrees to these Terms and Conditions.
